MCA Law in New Jersey: Disclosure, Judgments and Enforcement

In one paragraph

New Jersey has debated but, as of this review, not enacted a commercial financing disclosure law, so cost disclosure varies by funder. New Jersey businesses are frequently sued in New York under contract venue clauses and see judgments domesticated across the river within weeks. A New Jersey-licensed attorney should review any COJ or lien before you respond.

Disclosure

Bills requiring APR-style disclosure on commercial financing have been introduced in Trenton but had not become law at our last review. Until they do, ask for total payback and term in writing and convert the factor rate yourself.

Confessions of judgment

New Jersey court rules sharply limit judgments by confession, so funders rarely attempt them in New Jersey courts. The practical path is a New York judgment under the contract, which then crosses the Hudson through the Uniform Enforcement of Foreign Judgments Act. Proximity makes this fast.

Enforcement

After domestication, bank levies and writs of execution proceed under New Jersey procedure. New Jersey’s homestead protection is minimal compared with Florida or Texas, so a personal guarantee carries more real exposure here.

Industries and patterns

Contractors and warehousing operators along the Turnpike corridor were the most common stacked borrowers in our New Jersey set, frequently funded by New York-based funders a short drive away.

What to do first in New Jersey

Assume any judgment will be obtained in New York and enforced in New Jersey within weeks. Search New York e-filing for your business name, and get your guarantee reviewed; New Jersey protects less of your personal assets than you may think.
