MCA Law in Florida: Disclosure, Judgments and Enforcement

Florida’s Commercial Financing Disclosure Law, effective 2024, requires funders to state the total dollar cost of an advance but not an APR, so you still have to do the conversion. Florida homestead protection is among the strongest in the country, which changes how much a personal guarantee actually exposes. Funders sue in New York under the venue clause and domesticate the judgment in Florida.

Disclosure

Florida’s law requires disclosure of the total amount funded, total repayment, total dollar cost and payment schedule on commercial financing offers under the threshold. It does not require an APR, so a 1.38 factor over five months can be presented as a dollar figure that sounds smaller than roughly 180% annualized. Convert it.

Confessions of judgment

Florida does not have a procedure for entering an out-of-state style COJ. The practical route is a New York judgment obtained under the contract, then domesticated in Florida under the Uniform Enforcement of Foreign Judgments Act. Once domesticated, garnishment of Florida bank accounts proceeds quickly.

Personal guarantees and homestead

Florida’s constitutional homestead exemption protects a primary residence from most judgment creditors without a dollar cap. That does not make a guarantee harmless, since business accounts, receivables and non-exempt assets remain exposed, but it changes the negotiating posture on the personal side.
